Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Grid AI platform, websites, APIs, and related services (the “Service”), operated by Grid AI (“Grid AI”, “we”, “us”). By creating an account, accepting an invitation, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Grid AI operates a marketplace that connects users who need compute (“Consumers”) with independent operators who contribute hardware (“Providers”). We provide orchestration, metering, and settlement; we do not own or operate the Provider hardware on which workloads run.

The Service is provided on an as-available basis and may change over time. We may add, modify, or discontinue features at our discretion.

2. Accounts and Access

Accounts are created by invitation from an administrator. You must provide accurate information, keep your credentials secure, and are responsible for all activity under your account.

You must be of legal age to form a binding contract and not be barred from using the Service under applicable law. You are responsible for maintaining the confidentiality of your login and for promptly notifying us of any unauthorized use.

3. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. Violations may result in suspension or termination and may be reported to authorities where required.

4. Compute on Third-Party Hardware

Workloads submitted to the Service run on hardware operated by independent Providers. While we apply container isolation to protect the host, the operator of a machine retains physical control of that machine. As a result, we cannot guarantee the confidentiality of data or code processed on Provider hardware.

Do not submit regulated, secret, or otherwise sensitive data to standard compute unless and until you use a feature we specifically designate as offering confidentiality guarantees. You are solely responsible for evaluating whether the Service is appropriate for your data.

Results returned by Providers are not independently verified by Grid AI. You are responsible for validating the correctness of any outputs before relying on them.

5. Payments and Billing

Consumers pre-fund a balance and are charged for metered usage of compute resources at the rates shown in the Service. Providers earn a share of amounts paid for compute they deliver. Payments and payouts are processed by third-party providers such as Stripe, and are subject to their terms.

You are responsible for all taxes associated with your use of the Service, other than taxes based on our net income. Fees are non-refundable except where required by law or expressly stated.

6. Providers

If you contribute hardware to the Service, you are also subject to our Provider Agreement, which governs eligibility, payouts, and Provider obligations.

7. Export Controls and Sanctions

You represent that you are not located in, and will not use the Service on behalf of anyone located in, a country or region subject to comprehensive sanctions, and that you are not a party with whom transactions are prohibited under applicable law.

You agree not to use the Service, or provide access to compute through it, in violation of applicable export-control or sanctions laws, including restrictions on the provision of advanced computing capability to restricted destinations or parties.

8. Your Content

You retain all rights to the code, data, and models you submit. You grant us a limited license to host, transmit, and process that content solely to operate the Service (including delivering it to the Providers that execute your workloads).

You are responsible for having all rights necessary to submit your content and for its use on the Service.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any result will be accurate.

10. Limitation of Liability

To the maximum extent permitted by law, Grid AI will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill. Our total liability arising out of or relating to the Service will not exceed the amounts you paid to us in the three months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Grid AI from claims, losses, and expenses arising out of your content, your use of the Service, or your violation of these Terms or applicable law.

12. Suspension and Termination

We may suspend or terminate your access if you violate these Terms, create risk or legal exposure, or for extended periods of inactivity. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Your continued use after changes take effect constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the jurisdiction in which Grid AI is established, without regard to conflict-of-laws principles. The courts of that jurisdiction will have exclusive jurisdiction over disputes, except where prohibited by law.
