Provider Agreement
This Provider Agreement governs your participation as a Provider on the Grid AI platform — contributing hardware to run Consumers’ workloads in exchange for a share of the compute fees. It supplements our Terms of Service and Acceptable Use Policy.
1. Eligibility
To be a Provider you must be of legal age, located in a supported country, and legally permitted to receive payouts there. You must own or have the right to contribute the hardware you connect, and your participation must not violate any agreement or law that applies to you (for example, terms governing your electricity or internet service).
2. Contributing Compute
You contribute compute by running the Grid AI agent on your hardware. The agent executes Consumer workloads in isolated containers. You are responsible for the operation, security, and maintenance of your machine and its environment.
3. Earnings and Payouts
You earn a share of the fees paid for compute you actually deliver, at the rates shown in the Service, net of the platform fee. There is no fee to join and you are never required to pay money up front — value flows to you, not from you.
Payouts are processed by a third-party provider (e.g., Stripe Connect) and are subject to its terms and verification. You are solely responsible for any taxes on your earnings and for providing required tax information (such as a W-9 or W-8).
4. Pay for Delivered Work
You are paid for work delivered. If you go offline mid-job, fail to complete assigned work, or do not return results, you will not be paid for that work. We may withhold or reverse amounts associated with undelivered or disputed work.
5. Your Obligations
You must not access, read, copy, modify, exfiltrate, or interfere with any Consumer workload or data on your machine, or attempt to defeat the isolation the Service applies. You must comply with the Acceptable Use Policy and keep your node and credentials secure.
You must not misrepresent your hardware or usage, or attempt to manipulate metering, scheduling, or payouts.
6. No Guarantee of Work
We do not guarantee any amount of work, uptime demand, or earnings. Scheduling depends on Consumer demand, your reliability, and other factors, and may favor more reliable nodes.
7. Reliability and Removal
We may pause, deprioritize, or remove a node that is unreliable, insecure, or in violation of our terms. Repeated failures to deliver may reduce how often your node is scheduled.
8. No Warranty and Liability
The Service is provided to Providers on an as-is basis. To the maximum extent permitted by law, Grid AI is not liable for indirect or consequential damages, and our total liability is limited to the payouts owed to you in the three months preceding a claim.
9. Indemnification
You agree to indemnify and hold harmless Grid AI from claims arising out of your operation of your hardware, your violation of this Agreement or applicable law, or your handling of Consumer workloads.
10. Termination
Either party may end your participation at any time. On termination, we will pay out earnings properly owed for delivered work, subject to verification and applicable holdbacks. Provisions that by their nature should survive will survive.
